Giveaway Term and Deadlines: Starting on June 18, 2021, through December 4, 2021, Spark Energy will run a period SPARK ENERGY CINCO RANCH COMMUNITY EVENTS GIVEAWAY campaign (the “Giveaway”) offering eligible entrants the chance to win a FREE $100 Visa gift card. All you have to do for a chance to win is fill out the entry form online and enter during one of the following Giveaway Periods, as further described below:

Sponsor: The Sponsor of this Giveaway is Spark Energy, Inc. (“Sponsor”). Spark Energy is a certified REP by the Public Utility Commission of Texas under Certificate Number #10046.

How to Enter: To enter the Giveaway, simply go to sparkenergy.com/cinco-ranch and follow the instructions to complete and submit the official entry form (“Entry”), where you will be asked to provide basic contact information including your name, address, email, and phone number, and select the Giveaway Period for which you wish to submit your entry(ies). Any personal information supplied by you to the Sponsors, as identified in paragraph 12, below, will be subject to the Sponsor’s privacy policy, posted at www.sparkenergy.com/giveaway-rules

By participating in a Giveaway using the online method of entry, you authorize the Sponsor to communicate with you by email. You will also be asked to consent to receive text messages, however, consent to receive text messages is not mandatory to participate. The text messaging method of entry is designed to work with most of the major wireless carriers in the United States, but the Sponsor makes no guarantee that any particular wireless service provider will participate. The wireless device that is used must be capable of sending and receiving text messages. Entrants should check their phone’s features to see if they have the capability. Wireless service providers may charge entrants for each text message sent or received, including any error message that is sent or received in connection with the Promotion. Proof of sending a text message is not considered proof of delivery to or receipt by the Sponsor or its designee of entry. Consent is not required to buy goods and services. An entrant may enter one (1) time for the whole giveaway period. Additional entries over the limit will be disqualified. Entries roll over from one giveaway period to the next. Proof of submission is not proof of receipt. Any attempt at e-mail or other methods of entry is void. You must provide all required information to be eligible to enter and win. Incomplete, illegible, corrupted, or untimely entries are void and will be disqualified. Automated entries or entries submitted by third parties will be disqualified. Entries must be submitted by the entrant. Any attempt by any entrant to obtain more than the stated number of entries by using multiple and/or different identities, registrations, email addresses, logins, or any other methods will void that entrant’s entries, and that entrant may be disqualified at Sponsors’ discretion. Multiple entrants are not permitted to share the same email address. In the event of a dispute as to any registration or play, the authorized account holder of the email address used to register will be deemed to be the registrant or player. The “authorized account holder” is the natural person assigned an email address by an Internet access provider, online service provider, or other organization responsible for assigning email addresses for the domain associated with the submitted address. Potential winners may be required to show proof of being the authorized account holder to the Sponsors or forfeit the prize. Entries specifying an invalid, non-working, or inactive email address will be disqualified and ineligible to win.

Eligibility: Giveaway is open to legal United States residents ages 18 years or older (19 years or older in Alabama and Nebraska, 21 years or older in Mississippi). Void outside the United States and where prohibited. Employees, officers and directors of Sponsor, and its respective subsidiaries, affiliates, authorized agents, retailers, sales representatives, distributors, advertising, promotion, or production agencies, prize providers, Webmasters, and Web suppliers, and their respective officers, directors, employees, representatives, and agents and all individuals (including, but not limited to, consultants, independent contractors, so-called “temporary employees,” former employees and interns) who have, within the past six months, performed services for such entities, and their IRS dependents, immediate families (parent, child, sibling and spouse) and/or members of their households, whether related or not, are ineligible to participate in the Giveaway and are not eligible to enter or win. Winning a prize is contingent upon fulfilling all requirements set forth herein. Non-eligibility will result in disqualification. By participating, entrants agree to these Official Rules and the decisions of the Sponsors, which are final and binding on all matters related to the Giveaway.
Prizes: There will be one (1) prize winner for each Giveaway Period, for a total of seven (7) prizes to be awarded during the Giveaway. Each prize winner will receive one (1) Visa gift card for $100. Total retail value of all prizes to be awarded: $700.00.

Prize Restrictions: Limit one (1) prize per person and per household. Gift card issued by a third party; see issuers website at www.blackhawknetwork.com for applicable fees, terms, and conditions. The gift card cannot be redeemed for the purchase of another gift card. Except as required by law, the gift card cannot be transferred for value or redeemed for cash. If the gift card is lost or stolen, it will not be replaced. Any and all applicable federal, state, and local taxes and all fees and expenses related to acceptance and use of prizes not specifically stated herein, including costs associated with travel to and from the concert, are the sole responsibility of the individual prize winner. Prizes are non-transferable, non-assignable, and not redeemable for cash; however, Sponsor reserves the right to make equivalent prize substitutions at its sole discretion. Prizes are not transferable and must be accepted as awarded with no substitutions in cash or otherwise, except at the Sponsor’s discretion. The sponsor reserves the right to substitute a prize of equivalent monetary value if a prize cannot be awarded as described. No more than the stated number of prizes will be awarded.

Random Drawings: A random drawing will be conducted for each Giveaway Period on the dates and for the number of winners listed in Table 1 from all eligible entries received for the applicable Giveaway Period. Odds of winning for any prize depend upon the number of eligible entries received for that Giveaway Period. The provisional winners will be notified by email or by telephone. Provisional winners must respond to such notification within the time period set forth in Table 1 after the notification is sent or an alternate provisional winner may be selected from the remaining eligible entries. In the event that a provisional or alternate winner is not eligible or fails to accept the prize, the Sponsor may award the prize in any manner it deems fit.

General: Program participants may visit Spark Energy’s website at sparkenergy.com to view electricity rates, Terms of Service and more details about the company. Giveaway shall be governed by the laws of Texas without regard to its conflict of laws provision. Government employees that win a prize may be subject to the ethics and gift rules of their jurisdiction. The sponsor’s computer is the official time-keeping device for each Giveaway. All entries become the sole property of the Sponsor and receipt of entries may not be acknowledged. No mechanically reproduced or photocopied entries will be accepted. Lost, illegible, or incomplete entries will be deemed ineligible and disqualified.

The Sponsor and its parents, subsidiaries, affiliates, directors, officers, employees, and agents (collectively, the “Giveaway Entities”) are not responsible for late, lost, incomplete, misdirected, stolen, or damaged entries or for technical, hardware, software or telephone malfunctions of any kind, lost or unavailable network connections, or failed, incorrect, incomplete, inaccurate, garbled or delayed electronic communications caused by the sender or by any of the equipment or programming associated with or utilized in the Giveaway which may limit the ability to play or participate, or by any human error that may occur in the processing of the entries in the Giveaway or other failures of any sort, fire, epidemic, pandemic, explosion, the act of God, riot or civil disturbance, war, terrorist threat or activity, any federal, state or local government law, or any other cause not reasonably within the Giveaway Entities’ control.

If for any reason (including, without limitation, infection by computer virus, bugs, worms, tampering, unauthorized intervention, fraud, technical failures, printing or production errors, or any other cause beyond the reasonable control of Giveaway Entities that corrupts or affects the administration, security, fairness, integrity, or proper conduct of any Giveaways), Giveaways is not capable of being conducted as described in these Official Rules, the Giveaways Entities shall have the right, at their sole discretion, to cancel, terminate, modify or suspend that Giveaways and select the prize winners from the eligible entries received prior to action taken, or as otherwise deemed fair and appropriate by the Giveaway Entities. The Giveaway Entities may, in their sole discretion, cancel any Giveaway listed in Table 1 above prior to the commencement of the applicable Giveaway Period.

Limitations on Liability and Release/Indemnification: BY ENTERING THE GIVEAWAY, YOU AGREE TO BE BOUND BY THESE OFFICIAL RULES AND BY THE DECISIONS OF THE GIVEAWAYS ENTITIES, WHICH SHALL BE FINAL AND BINDING. BY ACCEPTING A PRIZE, YOU HEREBY RELEASE, INDEMNIFY AND HOLD HARMLESS THE GIVEAWAYS ENTITIES FROM ANY LIABILITY, LOSS, DAMAGES, OR CAUSES OF ACTION INCURRED (HOWEVER NAMED OR DESCRIBED) WITH RESPECT TO OR ARISING OUT OF EITHER (I) ENTRANTS’ PARTICIPATION IN THE GIVEAWAY OR IN ANY GIVEAWAYS-RELATED ACTIVITY; OR (II) THE RECEIPT, POSSESSION, OR USE OR MISUSE OF THE PRIZES AWARDED IN THE PROMOTION, INCLUDING BUT NOT LIMITED TO ANY CLAIMS FOR DAMAGE TO PROPERTY, PERSONAL INJURY OR DEATH, OR CLAIMS BASED ON DEFAMATION, RIGHTS OF PRIVACY, RIGHTS OF PUBLICITY OR MERCHANDISE DELIVERY. WINNERS AGREE TO SIGN A DOCUMENT TO THIS EFFECT PRIOR TO RECEIVING THEIR PRIZE.

IN NO EVENT WILL THE GIVEAWAY ENTITIES, THEIR PARENTS, AFFILIATES, SUBSIDIARIES, AND RELATED COMPANIES, THEIR RESPECTIVE ADVERTISING OR PROMOTION AGENCIES OR ANY OF THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, REPRESENTATIVES, AGENTS, OR THE GIVEAWAY ENTITIES BE RESPONSIBLE OR LIABLE FOR ANY DAMAGES OR LOSSES OF ANY KIND, INCLUDING DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING OUT OF YOUR ACCESS TO AND USE OF THE GIVEAWAYS SITE OR DOWNLOADING FROM AND/OR PRINTING MATERIAL DOWNLOADED FROM www.sparkenergy.com/giveaway-rules OR ANY OTHER WEBSITE ASSOCIATED WITH THE GIVEAWAYS. WITHOUT LIMITING THE FOREGOING, EVERYTHING ON THE GIVEAWAYS SITE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. Publicity: By accepting a prize, the winner grants to the Giveaway Entities the right to use the winner’s name, likeness, image, voice, hometown, and biographical information in advertising, trade, and promotion, including on the Internet or via wireless application protocol, without further notice, compensation or permission, except where prohibited by law. The provisional winner and guest, if applicable, will be required to complete, sign, and return an Affidavit of Eligibility and Publicity/Liability Release prior to the receipt of the prize, or the prize may be forfeited and awarded to an alternate winner.

Choice of Law: Any and all legal actions or claims arising in connection with the Giveaway must be brought in a court of competent jurisdiction in Texas, U.S.A. Except where prohibited, the entrant agrees that: (1) any and all disputes, claims and causes of action arising out of or connected with any Giveaway or any prize awarded shall be resolved individually, without resort to any form of class action, (2) any and all claims, judgments, and awards shall be limited to actual out-of-pocket costs incurred, but in no event attorneys’ fees; and (3) no punitive, incidental, special, consequential or other damages, including without limitation lost profits may be awarded (collectively, “Special Damages”), and (4) entrant hereby waives all rights to claim Special Damages and all rights to have such damages multiplied or increased. The laws of the State of Texas govern the Giveaway and all aspects related thereto.
